Summary of Roles

The Executive Committee is responsible for the management of the Club's business, for which purpose it may exercise all the powers of the Club, including but not limited to the following:

  • Approve contracts for the Club
  • Borrow, raise and give security by mortgage or charge upon all or part of the property of the Club
  • maintain the develop the property used by the Club
  • Apply for grants
  • Employ any person or engage contractors on behalf of the Club
  • Rent the Club property to Trading
  • Call an EGM of Trading
  • Approve the accounts of the Club and Trading

Members of the Executive Committee must declare that they satisfy HMRC's "fit and proper person test" prior to be being elected.

Members of the Executive Committee are registered as Directors of the Club
with Companies House.

There must be between 4 and 9 people on the Executive Committee.

To be on the Executive Committee, you must be aged 18 or over and one of:

  • A fully paid-up Playing Member of the Club of not less than 2 years' standing
  • A fully paid-up Executive Non-playing Member or a person eligible to become an Executive Non-playing Member (i.e. if they have been a fully paid up Playing Member or Participating Member for at least 5 years out of the previous 14 years. A Participating Member is a volunteer who significantly participates in the sporting activities of the Club, such as being a committee member or officer, a match official or coach, but does not play hockey.
  • A registered Honorary Life Member

Chair

  • Responsible for the club's vision and objectives.
  • Provides leadership and communications to membership to keep members up to date with current issues impacting BHHHCand its members.
  • Seeks feedback from Exec, Hockey Committee and members to ensure Exec makes decisions in the best interests of the club.
  • BHHHC's representative on the Berkhamsted Sports Ground Charity Association and Dacorum Sports Network.
  • Experience required: Advantageous to be an experienced director with knowledge of good corporate governance practices, such as A Code for Sports Governance Tier 1 (issued by Sports England).

Treasurer

  • Responsible for maintaining and submitting BHHHC and BHHHC Trading Accounts, receipts and payments and providing assurance on compliance with financial regulations and Articles of Association.
  • Produces financial reports to the Executive and statutory reporting such as VAT.
  • Administers loans in accordance with loan agreements.
  • Administers BHHHC 200 Club.
  • Experience required: Experienced qualified accountant and commercial acumen.

Commercial Director

  • Responsible for BHHHC Trading commercial activity including management (including staff) and delivery of the bar and club house operation.
  • Pays bills and taxes for supplies and service.
  • Negotiates and maintains commercial hire agreements (clubhouse hires, external facilities).
  • Responsible for the maintenance and repair of clubhouse and external facilities.
  • Produces monthly Trading operating accounts.
  • Experience required: Advantageous to have commercial acumen, understanding of commercial risks, negotiating commercial contracts and ability to prepare and maintain operational accounts.

Hockey Director

  • Responsible for representing Hockey Committee and development of hockey in accordance with the BHHHC Strategic Plan.
  • Provides assurance that hockey is delivering its aims and ambitions for the season, coordinating and managing hockey activity.
  • Ensures compliance with BHHHC's various policies and relevant regulations (including: Health & Safety, Safeguarding and ensuring disciplinary policy is followed).
  • Normally will also be Chair of Hockey Committee.

Property Director

  • Responsible for ensuring BHHHC property assets are high performing and meeting the club's needs.
  • Ensures compliance with relevant property regulations for ongoing business and development plans (requiring planning permissions, commercial property agreements and project management).
  • Experience required: Commercial property development experience

Secretary

  • Responsible for ensuring Executive activities are conducted and recorded in compliance with relevant regulations and the Articles of Association.
  • Registering Director and CASC Representative resignations and appointments.
  • Experience: Advantageous to have experience as a company secretary or company director.

Other Directors
The Executive Committee can have up to 9 Directors. The aim of the Other Director role is to support and work alongside the executive, bringing in different perspectives and thinking to the strategic decision making and the clubs operation. Experience: key is that the appointments additional directors add diversity and/or additional valuable skills to the Executive operation - and generally be passionate about promoting the future success of BHHHC for the benefit of members, users and the local community.

Independent Directors
The Club's Articles of Association currently require that Directors are members of the club (as stated above).
